Merger speculation and regulatory backdrop
Jana Small Finance Bank has sought a universal banking licence from the Reserve Bank of India (RBI). RBI returned its initial application in June 2025, leaving the lender open to making a future submission, according to the report.
Jana was among the microfinance lenders that received a specialised banking licence in 2017. It began operations as a small finance bank in March and went public in February 2024.
Exchange clarifications
Federal Bank, in its clarification, said it evaluates opportunities for growth and expansion in the ordinary course of business. It stated in its exchange filing:
There is no material event/ information that requires disclosure under Regulation 30
The reference is to Regulation 30 of Sebi's Listing Obligations and Disclosure Requirements regulations.
Jana Small Finance Bank, responding to a request for clarification from BSE and NSE, said it evaluates all opportunities in the ordinary course of business from time to time. It said that going ahead, it would continue to make disclosures required under Regulation 30.
What the disclosures mean for investors
For finance executives and investors tracking the Indian banking sector, the disclosed facts so far are the share-price declines, the regulatory status of Jana's universal banking licence application, and the two companies' statements to the exchanges. Neither bank has confirmed a merger, and Federal Bank said no material event requires disclosure under Regulation 30. Jana said it will continue to make required disclosures under the same regulation. Any further material development would, on the basis of these statements, be subject to the companies' disclosure obligations.
