Emirates NBD's Rs 26,015 crore acquisition of a 60% stake in RBL Bank marks the largest banking cross-border deal between India and the UAE, according to a report by Business Today. The transaction positions India among the Dubai-based lender's five core strategic markets, alongside the UAE, Saudi Arabia, Egypt, and Turkey, as stated by Hesham Abdulla Al Qassim, vice-chairman and managing director of Emirates NBD.

Deal Structure and Strategic Rationale

The transaction, valued at Rs 26,015 crore, gives Emirates NBD a 60% ownership in RBL Bank, making it the promoter. Al Qassim described the move as a historical return, noting that when the precursor to Emirates NBD was established in 1963, it relied heavily on Indian financial linkages. "We started the financial institution in 1963 with the help of State Bank… In the 1960s everyone in the region was desperately using Indian rupees," he said, as reported by Business Today. The acquisition fulfills a long-held ambition "to come back to India to continue our trade and relationship," backed by sufficient capital to buy a bank outright.

Shayne Nelson, group chief executive officer, stated, "As a group, Emirates NBD has identified five core strategic markers that will drive our future growth…the UAE, Saudi Arabia, Egypt, Turkey and of course India," describing India as a uniquely important growth market.

Al Qassim emphasized the historical role of Indian enterprise in building the Gulf's commercial foundations: "Indian businessmen… have started the whole platform of the economy in every GCC country including the UAE." The deal also leverages the strong diaspora connection. Nelson noted that 4.3 million Indians call the UAE home, contributing enormously to the economy and society. Roughly a third of the bank's UAE customer base is of Indian origin. Bilateral trade has already passed $100 billion, making India the UAE's second largest trading partner and the UAE India's third largest trading partner, according to the report.

Next Milestone

The acquisition is expected to close pending regulatory approvals, with Emirates NBD now positioned as a promoter in one of the world's fastest-growing banking markets. The bank will integrate RBL Bank into its network, aiming to capture growth from the Indian financial sector.
