Eldorado Drilling Completes $257M Acquisition of Vantage Drilling

Eldorado Drilling has completed its $257m acquisition of Vantage Drilling, creating a combined fleet of five rigs. Vantage will become an indirect subsidiary and delist from the Oslo stock exchange. The deal is funded by $125m in equity from Eldorado's principal shareholder.

Eldorado Drilling Completes $257M Acquisition of Vantage Drilling

Neil Hall-led Eldorado Drilling has completed the acquisition of offshore drilling contractor Vantage Drilling for approximately $257m, according to Splash247. As a result of the transaction, Vantage will survive as an indirect subsidiary of Eldorado and will delist its ordinary shares from the Oslo stock exchange as promptly as practicable.

Transaction Details

Under the terms of the deal, Vantage shareholders will receive $19 per share in cash, representing an equity value of approximately $257.6 million. The transaction is funded by $125 million of equity committed by Eldorado’s principal shareholder, comprising $64.5 million in cash equity and $60.5 million in shareholder note conversion, according to Splash247.

Combined Fleet and Strategic Rationale

The combination brings together Eldorado’s Atlantic Zonda rig with Vantage’s four rigs: the drillships Platinum Explorer and Tungsten Explorer, as well as the jackups Topaz Driller and Soehanah. According to a statement from Vantage cited by Splash247, the merger is expected to broaden commercial opportunities across multiple regions.
